Terms and Data Processing - SalesWings AI Assistant and Copilot

Scope and acceptance

By installing and using SalesWings AI Sales Agent (the “AI Sales Agent”), the customer (“Customer”) accepts these terms (the “Terms”).

The AI Sales Agent is provided by SD Technologies SA, Route de la Feuillère 29, 1010 Lausanne, Switzerland (“SalesWings”).

If Customer has another agreement with SalesWings, including a master services agreement, order form, subscription agreement, or other terms governing SalesWings services, these Terms apply specifically to the AI Sales Agent and prevail in the event of a conflict concerning its use. The other agreement continues to apply to matters not addressed by these Terms.

Nature of the service

The AI Sales Agent uses third-party artificial intelligence services to provide sales research, drafts, recommendations, and supported actions. Generated content may be incomplete, inaccurate, or outdated. Customer must review it before relying on or communicating it and must review any resulting Salesforce record. SalesWings does not guarantee the accuracy of generated content.

The AI Sales Agent supports human sales work. It is not intended to make autonomous decisions or to be the sole basis for decisions that affect legal rights or produce similarly significant effects.

Data-use commitment

SalesWings does not use Customer prompts, CRM context, or generated responses to train AI models or improve its services. SalesWings-managed model providers are engaged under terms that prohibit them from using Customer content to train or improve their models.

When Customer uses Bring Your Own Model (“BYOM”), Customer is responsible for reviewing and approving its selected provider’s terms and configuration, including any use of Customer content.

Model providers and BYOM

With the standard configuration, SalesWings selects and manages the model provider. With BYOM, Customer selects an available provider and model and supplies its own credentials and any required connection information.

Providers and models are curated by SalesWings and may change. SalesWings does not guarantee fallback to another provider if a BYOM configuration or provider is unavailable.

Customer is responsible for its BYOM provider account, fees, quotas, credentials, permitted use, and the provider’s privacy, retention, training, security, compliance, and data-location terms.

Data processed

Depending on configuration and feature use, the AI Sales Agent may process:

  • Salesforce organization, user, and record identifiers and selected CRM information

  • User prompts, conversation history, and generated responses

  • Requested actions, Salesforce Task details, tool requests, and tool results

  • Salesforce and SalesWings activity and insight data used by features such as Qualify

  • Provider, model, usage, timestamp, authentication, and diagnostic information

  • Queries and results used for public-web research

  • Answer text sent for optional speech generation

Relevant context and conversation history may be sent to the configured model provider and retained as part of the conversation.

Customer responsibilities

Customer is responsible for:

  • Assigning appropriate Salesforce permissions and AI Sales Agent access

  • Configuring conversation sharing, Guardrails, and context fields appropriately

  • Selecting data consistent with its legal obligations and internal policies

  • Providing required notices and establishing a lawful basis for processing

  • Training users on permitted use and the need to review generated content

  • Protecting Salesforce access and BYOM credentials

Users must not submit personal, confidential, regulated, or otherwise restricted information unless Customer has approved its processing by the configured services.

Guardrails control which Salesforce fields an administrator can select as context. They do not inspect or block information typed into chat.

Conversation access

Customer can configure conversations to be shared within its Salesforce org or separated by Salesforce user. Customer is responsible for choosing the appropriate setting and managing Salesforce access.

Storage, retention, and deletion

SalesWings stores AI Sales Agent conversation data in Ireland. Processing by model providers and other supporting services may occur in other locations under their applicable terms and configurations.

Conversations are eligible for automatic deletion 365 days after the last successfully saved message or action. Opening a conversation does not restart this period. Deletion may occur shortly after, rather than exactly at, the 365-day mark.

A user can select Clear to delete the current conversation earlier. The effect depends on whether conversations are shared or separated by user.

Disconnecting the Salesforce org does not delete conversations or BYOM settings. Disabling BYOM deletes its stored configuration and encrypted provider key, but not existing conversations.

Public-web search and speech

The Agent may send a query derived from Customer context and user intent to a public-web search service. Returned information may be sent to the model and stored in conversation history. The current product does not provide an administrator setting to disable web search.

When a user requests audio playback, the selected answer text is sent to the configured speech service.

Security and credentials

SalesWings applies technical and organizational measures designed to protect the service, including access controls, credential protection, encryption, and tenant separation.

BYOM keys and Salesforce connection tokens are encrypted before database storage. The complete stored BYOM key is not returned through the settings interface.

Customer must protect its access and credentials and promptly rotate credentials it believes may have been compromised.

Third-party services

The AI Sales Agent depends on services that may include Salesforce, model providers, public-web search, speech generation, and hosting or infrastructure providers. Their practices and availability may differ and may be governed by separate terms.

Neither SalesWings nor a provider receives ownership of Customer’s submitted data solely because it is processed to provide the AI Sales Agent. Processing remains subject to Customer’s agreements with SalesWings and, for BYOM, its selected provider.

Intellectual property and output

Each party retains its rights in its pre-existing intellectual property. Customer retains its rights in submitted data, subject to the rights required for SalesWings and its service providers to provide, secure, and support the service.

Ownership and permitted use of generated output may depend on applicable law and provider terms. Customer is responsible for reviewing provider-specific restrictions.

Availability and suspension

SalesWings may suspend access where reasonably necessary to address security risks, unlawful or prohibited use, provider unavailability, unpaid fees, or a material breach of the applicable agreement.

The AI Sales Agent depends on third-party services. SalesWings does not guarantee uninterrupted or error-free availability.

Limitation of liability

The liability limits and exclusions in Customer’s agreement with SalesWings apply to the AI Sales Agent. To the fullest extent permitted by that agreement and applicable law, SalesWings is not liable for:

  • Errors, interruptions, inaccuracies, or flaws in data or generated content

  • Decisions or actions taken solely in reliance on generated content

  • Loss of business or indirect, exemplary, incidental, special, or consequential damages

  • Third-party products or services

  • Matters beyond SalesWings’ reasonable control

Governing law and dispute resolution

These Terms are governed by substantive Swiss law, excluding conflict-of-law rules and the United Nations Convention on Contracts for the International Sale of Goods.

Disputes shall be finally settled under the Rules of Arbitration of the International Chamber of Commerce by one arbitrator. The place of arbitration is Lausanne, Switzerland, and the language is English.

Miscellaneous

Except as otherwise provided in these Terms, in the event of a disputed or unresolved claim, debt, or obligation, the parties waive any rights of set-off and rights to retain funds to the extent permitted by law.

The parties remain independent. These Terms do not create a partnership, joint venture, agency, or similar relationship.

Neither party may assign or transfer its rights or obligations under these Terms without the other party’s prior written consent.

Any amendment or modification of these Terms must be agreed in writing by both parties. This requirement also applies to any amendment of this written-amendment requirement.

If any provision is invalid or unenforceable, the remaining provisions remain effective. The invalid or unenforceable provision shall be replaced by a valid provision that most closely reflects its intended economic purpose.

A failure or delay by SalesWings to enforce a provision is not a waiver of its rights, does not affect the validity of these Terms, and does not prevent subsequent enforcement.
